Terms of Use

1. INTRODUCTION

1.1

NCHD Clocks is a personal timekeeping, leave-recording and overtime-estimation application designed primarily for NCHDs working onsite at Irish hospitals.

The App is intended to assist users in maintaining their own records of working hours, leave and estimated overtime remuneration.

1.2

NCHD Clocks is not an official hospital attendance system, employment record, working-time record, payroll system, remuneration system or employer-approved timesheet.

Information recorded in NCHD Clocks is intended for the user’s personal records only.

1.3

1.4

The NCHD Clocks website provides information about the App, these Terms of Use, our Privacy Policy and other information relating to the App.

The App is currently available for Android devices. An iOS version is not currently available.

1.5

For the purposes of these Terms:

• “App” means the NCHD Clocks mobile application; 
• “Services” means the App and related services provided by MiPaye Labs; 
• “User”, “you” or “your” means the person accessing or using the App; and 
• “we”, “us” or “our” means MiPaye Labs. 

2. IMPORTANT NOTICE

2.1 Personal record-keeping tool

NCHD Clocks is a personal record-keeping and estimation tool.

It does not constitute an official record of:

• attendance; 
• working hours; 
• employment; 
• overtime; 
• leave; 
• remuneration; 
• payroll; or 
• any other employment-related entitlement. 

You should independently verify your working hours, leave entitlement and remuneration against your employment contract, applicable NCHD terms and conditions and official employer or payroll records.

2.2 No HSE or hospital affiliation

NCHD Clocks has no affiliation with, and is not endorsed, approved, sponsored or operated by:

• the Health Service Executive (HSE); 
• any Irish hospital; 
• any hospital group; 
• any hospital employer; 
• any NCHD employment structure; or 
• any other healthcare organisation. 

2.3 Hospital locations

The App contains a list of hospital locations in Ireland for the purposes of map-based functionality and geofencing.

The inclusion of a hospital name or location in the App does not indicate that the hospital has authorised, approved, endorsed or otherwise partnered with NCHD Clocks.

Hospital locations displayed in the App are simply locations used by NCHD Clocks to provide its functionality.

2.4 No medical, employment or financial advice

NCHD Clocks does not provide:

• medical advice; 
• legal advice; 
• employment advice; 
• payroll advice; 
• financial advice; or 
• advice regarding your contractual rights or remuneration. 

2.5 Onsite working only

THE CLOCKING FUNCTIONALITY IS DESIGNED FOR NCHDS WORKING ONSITE AT IRISH HOSPITALS. IT IS NOT DESIGNED TO RECORD, CALCULATE OR INFER OFFSITE WORKING HOURS.

This includes work undertaken:

• from home; 
• remotely; 
• at another location; 
• away from the relevant hospital premises; or 
• otherwise outside the hospital onsite environment. 

You remain responsible for recording any offsite working hours by whatever method is appropriate to your employment arrangements.

2.6 Pay calculations

THE PAY AND OVERTIME CALCULATION FUNCTIONALITY IS DESIGNED FOR NCHDS WORKING ONSITE AT IRISH HOSPITALS WHOSE REMUNERATION ARRANGEMENTS ARE COMPATIBLE WITH THE CALCULATIONS PROVIDED BY THE APP.

2.7 Emergency Department limitation

THE CURRENT PAY CALCULATION FUNCTIONALITY IS NOT DESIGNED FOR NCHDS BASED IN EMERGENCY DEPARTMENTS.

Emergency Department-based NCHDs may be subject to remuneration arrangements involving specific shift premiums for particular hours and different overtime arrangements thereafter.

These arrangements are not fully represented within the current NCHD Clocks calculation methodology.

Emergency Department-based NCHDs should therefore not rely upon NCHD Clocks to calculate or verify their remuneration.

2.8 Estimate only

Any overtime or remuneration figure provided by NCHD Clocks is an estimate only.

NCHD Clocks does not guarantee that an estimated amount will correspond to the amount ultimately paid by your employer.

3. ELIGIBILITY AND INTENDED USERS

3.1

NCHD Clocks is intended primarily for NCHDs/trainee doctors working in Ireland, particularly NCHDs working onsite at Irish hospitals.

3.2

The App is not intended for medical students.

3.3

The pay and overtime calculation functionality is specifically intended for NCHDs working onsite in Irish hospitals.

3.4

The pay calculation functionality is not intended for:

• users working outside Ireland; 
• users who are not NCHDs; 
• users whose remuneration arrangements are materially different from those incorporated into the App; 
• Emergency Department-based NCHDs; or 
• users seeking to calculate remuneration for offsite working. 

3.5

Users who use the App solely for basic clocking functionality outside its intended NCHD onsite use do so at their own discretion and risk.

3.6

We do not verify that a user is:

• a doctor; 
• an NCHD; 
• a trainee doctor; 
• registered with a medical regulator; 
• employed by an Irish hospital; or 
• eligible for any particular App functionality. 

3.7

You must be at least 18 years old and legally capable of entering into these Terms.

4. ACCEPTANCE OF THESE TERMS

4.1

You must accept these Terms before using the App.

4.2

By creating an account, accessing or using the App, you acknowledge that you have read and agree to these Terms.

4.3

If you do not agree to these Terms, you must not use the App.

5. CHANGES TO THESE TERMS

5.1

We may modify these Terms from time to time to reflect:

• changes to the App; 
• changes to our Services; 
• changes to applicable law; 
• changes to our business arrangements; or 
• other operational or technical developments. 

5.2

Where we make material changes, we will take reasonable steps to bring those changes to your attention.

5.3

The updated Terms will be published on:

The “Last updated” date will indicate when these Terms were most recently revised.

5.4

Where permitted by applicable law, continuing to use the App after revised Terms become effective constitutes acceptance of the revised Terms.

If you do not agree with the revised Terms, you should stop using the App and cancel your subscription where applicable.

6. ACCOUNT REGISTRATION

6.1

You must create an account to use NCHD Clocks.

6.2

You agree that information supplied when creating or maintaining your account is accurate, current and complete.

6.3

You must not create an account using another person’s identity or personal information.

6.4

You must not share your account or authentication credentials with another person.

6.5

You must not knowingly allow another person to use your account.

6.6

You are responsible for maintaining the security of your account and authentication credentials.

6.7

You are responsible for activity occurring through your account, except where applicable law provides otherwise.

6.8

You must notify us promptly if you believe that your account has been accessed without authorisation or that your authentication credentials have been compromised.

6.9

We may suspend or restrict an account where we reasonably believe there has been:

• fraudulent activity; 
• unauthorised access; 
• misuse of the App; 
• a security risk; or 
• a material breach of these Terms. 

7. APP FUNCTIONALITY

Subject to your subscription and these Terms, NCHD Clocks may allow you to:

7.1 Timekeeping

• create clock-in and clock-out entries; 
• manually enter clock-in and clock-out times; 
• edit clocking entries; 
• delete clocking entries; 
• view daily working hours; 
• view weekly working hours; 
• view monthly working hours; and 
• view graphical representations of working hours. 

7.2 Day classifications

You may assign identifiers to individual days, including:

• call; 
• night shift; 
• annual leave; 
• study leave; 
• sick leave; 
• unpaid leave; and 
• custom categories. 

7.3 Leave

The App may allow you to:

• record leave; 
• monitor leave days used; 
• generate reports showing leave days used; and 
• generate reports showing remaining leave based on information entered into the App. 

Leave balances are dependent upon the information entered by you and should not be treated as official employer records.

7.4 Overtime and pay

The App may allow you to:

• enter a basic hourly rate; 
• enter an overtime multiplier; 
• apply different rates or identifiers to particular days; 
• calculate estimated overtime; 
• calculate estimated gross overtime pay; and 
• save pay calculations. 

7.5 Notes

You may add notes to individual days.

7.6 Geofencing

The App may allow you to:

• select a hospital from the predefined hospital list; 
• create a custom geofence; 
• select a custom geofence radius; and 
• edit the location and radius of a custom geofence. 

7.7 Exporting records

While your subscription is active, you may be able to:

• export records; 
• download records; and 
• generate PDF reports containing clocking data and saved pay calculations. 

7.8 Changes to functionality

We may add, remove, modify or discontinue features from time to time.

The availability of individual features may depend on your subscription, device, Android version, permissions or other technical factors.

8. CLOCKING RECORDS

8.1

The App allows you to create, edit and delete clocking records manually.

8.2

You are responsible for ensuring that manually entered or amended records accurately reflect the information you intend to record.

8.3

A clocking record generated or stored by NCHD Clocks does not establish that you were actually working during that period.

8.4

A clocking record does not establish:

• that you attended work; 
• the duties you performed; 
• the location where you performed work; 
• the contractual status of the work; 
• whether the work was authorised; or 
• whether your employer is required to pay you for that period. 

8.5

NCHD Clocks is intended to assist with your personal record keeping.

You remain responsible for checking your records and correcting any errors.

8.6

Because the App is designed around onsite hospital clocking, offsite working hours may not be captured.

Offsite working hours should not be assumed to be included in your NCHD Clocks records or pay calculations.

9. HOSPITAL LOCATIONS AND GEOFENCING

9.1

The App contains a predefined dropdown list of hospital locations in Ireland.

9.2

The hospital locations are used as map locations to support App functionality.

9.3

The inclusion of a hospital location does not imply:

• affiliation; 
• endorsement; 
• sponsorship; 
• authorisation; or 
• approval by the hospital. 

9.4

Users cannot add hospitals to the predefined hospital list.

However, users may create a custom geofence where supported by the App.

9.5

Users may select a custom radius for their custom geofence and may edit the location and radius of their custom geofence.

9.6

Automatic clocking may use background device location to identify when your device enters or leaves a hospital geofence.

9.7

Automatic clocking may fail, be delayed, trigger incorrectly or otherwise be inaccurate.

Factors may include:

• GPS limitations; 
• device settings; 
• battery optimisation; 
• Android permissions; 
• poor GPS or mobile signal; 
• hospital building structures; 
• interference or shielding; 
• operating-system restrictions; 
• device-specific behaviour; 
• background processing restrictions; and 
• other factors outside our control. 

9.8

You should not rely solely on automatic geofencing to establish your working hours.

Manual clocking remains available.

9.9

NCHD Clocks does not guarantee that a geofence-triggered clock-in or clock-out will:

• occur; 
• occur at the correct time; 
• occur immediately; 
• occur only when you enter or leave a hospital; or 
• accurately reflect when you commenced or ceased work. 

9.10

The use of a hospital geofence does not constitute confirmation that you were working at the hospital.

10. ONSITE AND OFFSITE WORK

10.1

The clocking functionality is designed specifically around onsite working at Irish hospitals.

10.2

The App is not designed to automatically record, calculate or infer:

• work from home; 
• remote work; 
• offsite clinical work; 
• work performed at another hospital; 
• work performed at another location; or 
• other working hours outside the relevant hospital premises. 

10.3

If you perform offsite working hours, you remain responsible for recording those hours using whatever method is appropriate to your employment arrangements.

10.4

You must not assume that your NCHD Clocks record represents your complete working hours if you undertake offsite work.

11. OVERTIME AND PAY CALCULATIONS

11.1

NCHD Clocks provides overtime and gross-pay calculations based on information entered by you and calculation methodologies incorporated into the App.

11.2

The App’s calculations may incorporate rates or arrangements derived from the NCHD contract.

11.3

The App may allow different identifiers or rates to be applied to particular days, including categories such as:

• public holiday; 
• on-call; 
• unpaid; 
• night rate; and 
• other custom categories. 

11.4

The resulting amount is an estimate of gross overtime pay only.

11.5

NCHD Clocks does not guarantee that an estimated amount will correspond to the amount ultimately paid by your employer.

11.6

Actual remuneration may differ because of factors including:

• payroll adjustments; 
• deductions; 
• taxation; 
• pension contributions; 
• rounding; 
• approved overtime; 
• contractual arrangements; 
• leave arrangements; 
• premium payments; 
• employer-specific rules; 
• changes to NCHD contractual arrangements; 
• payroll interpretation; 
• changes in applicable rates; and 
• other factors not incorporated into the App. 

11.7

The App does not constitute an official interpretation of the NCHD contract or your individual employment contract.

11.8 Emergency Department limitation

THE CURRENT PAY CALCULATION FUNCTIONALITY IS NOT DESIGNED FOR NCHDS BASED IN EMERGENCY DEPARTMENTS.

Emergency Department-based NCHDs may benefit from specific shift premiums applicable to particular hours, followed by different overtime arrangements.

These arrangements are not fully modelled by the current App.

11.9

Emergency Department-based NCHDs should therefore not rely on NCHD Clocks to calculate or verify their remuneration.

11.10

The pay calculator is not designed to calculate offsite working hours.

11.11

If your:

• grade; 
• department; 
• employment contract; 
• working pattern; 
• work location; 
• overtime arrangements; or 
• remuneration structure 

differs from the assumptions incorporated into NCHD Clocks, you should not rely upon the App’s pay calculations.

11.12

You should verify all calculated amounts against your official employer or payroll records.

12. LEAVE RECORDS

12.1

NCHD Clocks may allow you to assign leave categories to individual days, including:

• annual leave; 
• study leave; 
• sick leave; 
• unpaid leave; and 
• custom leave categories. 

12.2

The App may generate reports showing leave days used and remaining.

12.3

Leave balances displayed by the App are based on information entered into the App.

12.4

NCHD Clocks does not verify your contractual leave entitlement.

12.5

NCHD Clocks leave records do not constitute official employer or hospital leave records.

12.6

You should verify leave balances against your employer’s official records.

13. EXPORTS AND REPORTS

13.1

While your subscription is active, the App may allow you to export or download your records.

13.2

You may generate PDF reports containing clocking data and saved pay calculations.

13.3

You are responsible for securely storing exported reports and downloaded records.

13.4

An exported report remains a personal record and does not become an official hospital, employer or payroll document merely because it has been exported.

14. SUBSCRIPTIONS

14.1

NCHD Clocks is currently provided through a monthly subscription.

14.2

The current subscription price is €5.99 per month, subject to any applicable taxes and the pricing displayed through Google Play.

14.3

NCHD Clocks currently offers a two-week free trial with full access to eligible users.

14.4

There is currently no permanently free version of the App.

14.5

Subscription payments are processed through Google Play Billing.

14.6

NCHD Clocks does not receive or store your credit card, debit card or bank account details through Google Play Billing.

14.7

NCHD Clocks uses RevenueCat to manage and monitor subscription status and related subscription functionality.

14.8

You may cancel your subscription at any time through the applicable Google Play subscription controls.

14.9

Cancellation of a subscription does not necessarily result in an immediate refund or immediate termination of access. The applicable Google Play terms will determine the effect of cancellation and the end of the relevant subscription period.

14.10

When your subscription expires or otherwise ceases to be valid, subscription-dependent functionality will be restricted.

14.11

Specific functionality, including data entry and access to historical records within the App, may be locked when you do not have a valid subscription.

14.12

While your subscription remains active, you can generate PDF reports of your clocking data and saved pay calculations.

14.13

You should generate and securely retain any reports or exports that you wish to keep before your subscription expires.

14.14

We do not guarantee continued access to historical clocking records within the App after subscription expiry.

14.15

Data retention and deletion are governed by our Privacy Policy.

15. THIRD-PARTY SERVICES

15.1

NCHD Clocks relies upon third-party services and technology providers to operate and support the App.

These may include services relating to:

• cloud hosting; 
• data storage; 
• account authentication; 
• communications; 
• subscription management; 
• payment processing; 
• mapping; 
• location functionality; 
• analytics; 
• diagnostics; 
• error reporting; 
• customer support; 
• security; and 
• other technical infrastructure. 

15.2

The specific third-party providers used by NCHD Clocks may change from time to time.

15.3

Your use of Google Play and other third-party services may also be subject to their respective terms and policies.

15.4

We are not responsible for third-party services to the extent that they are outside our reasonable control, subject to your statutory rights.

16. PRIVACY AND DATA PROTECTION

16.1

Our Privacy Policy explains how NCHD Clocks collects, uses, stores and protects your personal data.

16.2

Our Privacy Policy forms part of these Terms and is available at:

16.3

You should read the Privacy Policy before using NCHD Clocks.

16.4

The App may use background location functionality to support automatic geofence-based clocking.

16.5

The Privacy Policy explains how location information is used and confirms that precise GPS coordinates are not retained on our servers.

16.6

Nothing in these Terms limits any rights you have under applicable data protection law.

17. USER RESPONSIBILITIES

17.1

You agree to use NCHD Clocks lawfully and in accordance with these Terms.

17.2

You are responsible for the accuracy of information that you enter into the App, including:

• clocking times; 
• pay rates; 
• overtime multipliers; 
• leave categories; 
• day classifications; and 
• information used to generate calculations. 

17.3

You are responsible for checking the results of any calculation before relying upon them.

17.4

You are responsible for complying with applicable workplace rules concerning:

• working-time records; 
• attendance; 
• use of mobile devices; 
• use of location services; and 
• handling of employment-related information. 

17.5

You should retain appropriate independent records of your working hours and remuneration where necessary.

18. PROHIBITED USE

You must not use NCHD Clocks to:

18.1

Create an account using another person’s identity or information.

18.2

Allow another person to use your account.

18.3

Circumvent, disable or attempt to circumvent subscription restrictions or access controls.

18.4

Reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the App, except to the extent that such restriction is prohibited by applicable law.

18.5

Scrape, harvest, systematically extract or otherwise collect App data except through functionality expressly provided by the App.

18.6

Interfere with, manipulate, falsify or attempt to circumvent the App’s geofencing or clocking functionality.

18.7

Attempt to gain unauthorised access to:

• the App; 
• another user’s account; 
• our systems; 
• our infrastructure; or 
• any associated service. 

18.8

Use the App for unlawful, fraudulent or abusive purposes.

18.9

Upload, introduce or transmit:

• malicious code; 
• malware; 
• viruses; or 
• other harmful material. 

18.10

Resell, sublicense, distribute or commercially exploit the App or your access to it without our prior written permission.

18.11

Use the App in a manner that infringes another person’s intellectual property, privacy or other legal rights.

18.12

Interfere with the security, integrity or normal operation of the App or its infrastructure.

19. INTELLECTUAL PROPERTY

19.1

MiPaye Labs owns or has the applicable rights to NCHD Clocks, including its:

• software; 
• branding; 
• name; 
• logo; 
• user interface; 
• calculations; 
• database structure; 
• website content; and 
• associated materials, 

subject to any third-party components or licences.

19.2

Except as expressly permitted by these Terms or applicable law, you must not:

• copy; 
• reproduce; 
• modify; 
• distribute; 
• sell; 
• licence; 
• publish; 
• reverse engineer; or 
• create derivative works from 

the App or its proprietary materials.

19.3

We grant you a limited, non-exclusive, non-transferable and revocable licence to use NCHD Clocks for your personal use in accordance with these Terms.

19.4

You do not acquire ownership rights in the App by downloading, accessing or subscribing to it.

20. USER NOTES AND CONTENT

20.1

NCHD Clocks does not currently require users to upload content for publication to other users.

20.2

The App may allow you to enter personal information, including notes associated with individual days.

20.3

Such information is treated in accordance with our Privacy Policy.

20.4

You are responsible for ensuring that any information or notes you enter are lawful and do not infringe the rights of another person.

21. DISCLAIMERS

21.1

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

21.2

We do not guarantee that the App will always be:

• available; 
• uninterrupted; 
• error-free; 
• secure; 
• accurate; or 
• compatible with every Android device or operating-system version. 

21.3

We do not guarantee the accuracy, completeness or reliability of:

• clocking records; 
• geofence events; 
• leave calculations; 
• overtime calculations; 
• pay calculations; or 
• other information generated by the App. 

21.4

Location-based clocking is subject to technical limitations.

We do not guarantee that automatic clock-in or clock-out will:

• occur; 
• occur at the correct time; 
• occur immediately; 
• occur only when you enter or leave a hospital; or 
• accurately reflect when you commenced or ceased work. 

21.5

NCHD Clocks does not verify:

• your employment status; 
• your working location; 
• your duties; 
• your attendance; 
• your contractual entitlements; 
• your leave entitlement; or 
• your remuneration. 

21.6

NCHD Clocks does not replace:

• official employer attendance systems; 
• official timesheets; 
• payroll systems; 
• leave-management systems; or 
• employment contracts. 

21.7

The App’s pay calculations are estimates only and should not be relied upon as evidence of the amount your employer owes you.

21.8

Nothing in these Terms excludes or limits liability or rights that cannot lawfully be excluded or limited.

22. LIMITATION OF LIABILITY

22.1

To the maximum extent permitted by applicable law, MiPaye Labs will not be liable for indirect or consequential loss arising from your use of the App.

22.2

This may include, to the extent permitted by law:

• loss of opportunity; 
• loss of anticipated remuneration; 
• loss of data; 
• loss arising from inability to access the App; or 
• losses resulting from reliance on estimated calculations. 

22.3

Without limiting the foregoing, we are not responsible for losses arising from:

• inaccurate manual entries; 
• inaccurate geofence events; 
• device limitations; 
• Android operating-system limitations; 
• loss of location permissions; 
• battery optimisation; 
• poor GPS or mobile signal; 
• hospital building structures; 
• third-party service failures; or 
• reliance upon estimated pay or leave calculations. 

22.4

Nothing in these Terms excludes or limits liability for:

• death or personal injury caused by negligence; 
• fraud or fraudulent misrepresentation; or 
• any other liability that cannot lawfully be excluded or limited. 

22.5

Where you are a consumer, nothing in these Terms affects your statutory rights under applicable Irish or European consumer-protection law.

23. INDEMNITY

23.1

To the extent permitted by law, you agree to indemnify MiPaye Labs against reasonable losses, liabilities, costs and expenses arising from:

• your unlawful use of the App; 
• your deliberate misuse of the App; 
• your infringement of third-party rights; or 
• your material breach of these Terms. 

23.2

This clause does not apply to the extent that the relevant loss results from our own negligence, unlawful conduct or breach of a non-excludable obligation.

24. APP AVAILABILITY, SUSPENSION AND TERMINATION

24.1

We may suspend, restrict or discontinue all or part of the App where reasonably necessary for:

• maintenance; 
• security; 
• technical reasons; 
• legal compliance; 
• changes to the Services; or 
• other legitimate business reasons. 

24.2

We may suspend or terminate your access where we reasonably believe that you have:

• materially breached these Terms; 
• engaged in fraudulent activity; 
• attempted to circumvent access controls; 
• created a security risk; or 
• used the App unlawfully. 

24.3

Where appropriate and practicable, we will provide notice before suspension or termination.

However, immediate action may be taken where reasonably necessary for security, legal or other legitimate reasons.

24.4

You may stop using the App and delete your account at any time.

Account deletion is subject to the data-retention provisions in our Privacy Policy.

24.5

Termination or expiry of access does not affect provisions which by their nature should continue, including provisions relating to:

• intellectual property; 
• disclaimers; 
• liability; 
• indemnity; 
• governing law; and 
• dispute resolution. 

25. LINKS AND EXTERNAL SERVICES

25.1

The App or NCHD Clocks website may contain links to third-party websites or services.

25.2

Third-party services are governed by their own terms and privacy policies.

25.3

We are not responsible for third-party content or services that are outside our control.

25.4

A link or reference to a third-party service does not imply endorsement, sponsorship or affiliation by MiPaye Labs.

26. GOVERNING LAW AND JURISDICTION

26.1

These Terms are governed by the laws of the Republic of Ireland.

26.2

Subject to any mandatory rights you may have as a consumer, the courts of Ireland will have jurisdiction over disputes arising from or connected with these Terms or your use of NCHD Clocks.

26.3

If you are a consumer resident in another jurisdiction, you may have mandatory rights under the laws of that jurisdiction which are not displaced by these Terms.

27. GENERAL

27.1

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

27.2

A failure by us to enforce a provision of these Terms does not constitute a waiver of that provision.

27.3

These Terms, together with the NCHD Clocks Privacy Policy and any other terms expressly incorporated into them, constitute the agreement between you and MiPaye Labs concerning your use of NCHD Clocks, subject to any mandatory statutory rights.

27.4

Nothing in these Terms creates:

• a partnership; 
• agency relationship; 
• employment relationship; or 
• joint venture
